1. The Service

The Service is a software application that integrates with your Pipedrive and Google Chat ™ accounts to provide real-time notifications about your deals and activities. The Service is provided on an "as is" and "as available" basis.

2. Eligibility and Account

To use the Service, you must have a valid Pipedrive and Google Chat ™ account. You are responsible for all activities that occur under your account, and you agree to keep your API tokens and login credentials confidential. You are solely responsible for all content sent from Pipedrive to Google Chat ™ via the Service.

3. Free Trial, Fees, and Payment

Free Trial: We offer a 14-day free trial. You will not be charged during the free trial period. To continue using the Service after the trial, you must subscribe to a paid plan.

Fees: The Service costs $12 USD per month. All fees are exclusive of taxes and duties.

Payment: All payments are processed through Stripe, our third-party payment processor. By using the Service, you agree to Stripe's terms and privacy policy. We are not responsible for any issues or damages arising from their service.

Cancellation and Refunds: Your subscription will automatically renew each month. You can cancel your subscription at any time through the Service dashboard. We do not provide refunds for any unused portion of the subscription period.

4. User Content

You retain all rights to any data, information, or content that you provide to the Service ("User Content"). You grant us a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing the Service.

5. Intellectual Property

The Service, including its code, design, graphics, and all other elements, is our exclusive property and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or other intellectual property.

6. Prohibited Conduct

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Transmit any content that is illegal, defamatory, harassing, or harmful.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to our systems or data.
• Use the Service for any purpose other than its intended use.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, EMPLOYEIS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any privacy or intellectual property right.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate these Terms at any time by canceling your subscription.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Paris, France, to resolve any legal matter arising from these Terms.

12. Changes to the Terms

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by posting the new Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
